Nangate Liberty Viewer

Nangate Liberty Viewer reads Liberty (.lib) files produced by any tool or captive characterization flow. With Nangate Liberty Viewer, you are three clicks away from any characterization data present in your Liberty file. The Viewer enables you to quickly access your characterization results, browse across cells, and share cell data without exchanging Liberty files.

Nangate also offers an advanced analysis tool, the Nangate Liberty Analyzer. It allows users to analyze, validate, compare, edit and spot outliers in standard cell libraries. NANGATE FREE SOFTWARE LICENSE AGREEMENT: IMPORTANT: READ CAREFULLY

By installing, copying or using the Nangate software products covered by this Free Software License Agreement (Agreement), Licensee accepts and agrees to be bound by the terms and conditions of the Agreement. If Licensee determines not to accept these terms and conditions, the Licensed Products must be uninstalled and all full and partial copies of the Licensed Products and related documentation returned to Licensor. If accepted, these terms and conditions are a legal agreement between Licensee and Nangate A/S, a Danish Corporation registered under CVR 28 15 04 82 and having a place of business at Smedeholm 10, 2730 Herlev or Nangate Inc., a California corporation having a place of business at 155-A Moffet Park Drive, Suite 101, Sunnyvale, CA 94089, USA (Licensor) (Licensee and Licensor together the Parties).

1. LICENSE. Subject to the provisions contained herein, Licensor grants to the Licensee a non-exclusive, nontransferable license to use the Licensed Products for an unlimited period. The license is for object-code only and Licensee shall not have the right to access source code under any circumstances. Licensor and its suppliers reserve all rights not expressly granted to Licensee herein.

2. TERM. This Agreement shall be effective upon the date Licensees acceptance of the Agreement. This Agreement shall remain in force until terminated. The Licensee may terminate this Agreement at any time by returning all copies of the Licensed Products and documentation to Licensor. Termination of this Agreement by Licensee shall not relieve Licensee of any obligations under this Agreement. Licensor may terminate this Agreement at any time if Licensee breaches any of the terms and conditions of this Agreement. If this Agreement is terminated for any reason, Licensee agrees to certify in writing, that all full and partial copies of the Licensed Products and related documentation have been returned to Licensor.

3. PROTECTION AND SECURITY. Notwithstanding any copyright notices, the Licensed Products contain trade secrets and confidential information of Licensor and its suppliers. The Licensed Products and the related documentation may not be copied in whole or in part for any purpose except that one (1) copy may be made of the Licensed Products for archival purposes. Except as provided herein, the Licensee agrees not to duplicate or disclose or otherwise make the Licensed Products or documentation available to any third Party without Licensors prior written consent. The Licensee further agrees not to reverse compile, reverse engineer or disassemble the Licensed Products, except as may be permitted by applicable mandatory governmental regulations relating to interoperability.  Any acts or omission of Licensee in contravention of the foregoing shall be considered breach of this Agreement.

4. MAINTENANCE AND SUPPORT. Licensor provides no Maintenance nor Support for the Licensed Products. Licensees modification or attempted modification of the Licensed Products, Licensees preparation of a derivative work of the Licensed Products, or Licensees implementation of corrections, improvements, or revisions to the Licensed Products, without the written consent of Licensor, shall be considered a breach of this Agreement.

5. LIMITED WARRANTY. THERE IS NO WARRANTY FOR THE LICENSED PRODUCTS, TO THE EXTENT PERMITTED BY APPLICABLE LAW. LICENSOR PROVIDES THE PROGRAM AS IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE PROGRAM IS WITH LICENSEE. SHOULD THE PROGRAM PROVE DEFECTIVE, LICENSEE ASSUMES THE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.

6. LIMITATION OF LIABILITY. IN NO EVENT UNLESS REQUIRED BY APPLICABLE LAW OR AGREED TO IN WRITING WILL LICENSOR BE LIABLE TO LICENSEE FOR DAMAGES, INCLUDING ANY GENERAL, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE PROGRAM (INCLUDING BUT NOT LIMITED TO LOSS OF DATA OR DATA BEING RENDERED INACCURATE OR LOSSES SUSTAINED BY LICENSEE OR THIRD PARTIES OR A FAILURE OF THE PROGRAM TO OPERATE WITH ANY OTHER PROGRAMS), EVEN IF SUCH HOLDER OR OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. FEES. The license is free. There are no fees.

8. EXPORT PROVISION. Licensee acknowledges that the Licensed Products are subject to U.S. export jurisdiction. Licensee agrees to comply with all applicable international and national laws that apply to the Licensed Products, including the U.S. Export Administration Regulations, as well as end-user, end-use and destination restrictions issued by the U.S. and other governments. Licensee agrees to obtain any and all necessary government approvals in its country relating to performance of this Agreement; assist in clearing the Licensed Products through customs; and pay any and all tariffs, taxes, import duties or excises imposed on the Licensed Products in connection with its use hereunder.

9. TITLE. This Agreement grants Licensee no title or rights of or to ownership in the Licensed Products or documentation or any corrections, improvements or revisions. THIS AGREEMENT DOES NOT INCLUDE THE RIGHT TO SUBLICENSE.

10. FORCE MAJEURE. Neither Party nor its representatives shall be liable for delays or failures in performances resulting from acts beyond the reasonable control of such person and time for performance will be extended by a period equal to such delay. Such acts shall include, without limitation, acts of God, strikes, lockouts, riots, and acts of war, epidemics, and governmental regulations imposed after the fact, fire, power failures, earthquakes, or other disasters.

11. GOVERNING LAW AND JURISDICTION. This agreement shall be governed by and construed under the laws of the State of California, USA if Licensee is located in the USA and the laws of Denmark if Licensee is located outside of the USA. All disputes arising out of or in relation to this Agreement shall be subject to the exclusive jurisdiction of federal and state courts located in San Jose, California when the laws of California apply, or courts located in Copenhagen, Denmark when the laws of Denmark apply, provided, however, that Licensor may elect to bring an action against Licensee in courts located in a judicial district in which Licensees place of business is located. The application of law shall be exclusive of conflicts of law principles and The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.
